1. Overview

NanoSlides is an online tool for intelligently generating, editing and managing presentation slides and related visual content. When you use the Service, you may access various content provided by NanoSlides and other content providers ("Licensed Content"). Your use of Licensed Content is governed by the applicable content license(s) made available to you through the Service.

You may also upload or create your own content (such as text, images, PPT files, templates, audio or other materials) ("User Content"). You retain ownership of your User Content, and you are solely responsible for it.

Using a combination of Licensed Content, your User Content, and the tools provided by NanoSlides, you can create designs, templates and presentation files ("Designs").

These Terms apply to your use of the Service through any channels provided by NanoSlides (including but not limited to our websites, applications and APIs). Your use of the Service is also subject to:

• Our Acceptable Use Policy; and
• Our Privacy Policy (which describes how we collect, use and protect your personal data).

You may use the Service only if you have the capacity to enter into a binding contract with NanoSlides and are not prohibited from doing so under any applicable laws. By using the Service, you represent and warrant that you have full right, power and authority to enter into and comply with these Terms.

If you register or use the Service with an email address provided by your employer or any organization, you represent and warrant that:

1. You are authorized to bind that entity to these Terms;
2. Your use of the Service is on behalf of that entity; and
3. The words "you" and "your" in these Terms refer to both you as an individual and that entity.

2. Use of the Service

2.1 Age Requirements

Children may not access or use the Service unless such use is directly authorized by a parent, legal guardian, or other authorized adult (such as a teacher) who agrees to be bound by these Terms. For the purposes of these Terms, a "child" is any person under 13 years old (or the minimum legal age in their country/region for consent to the processing of personal data, if higher).

2.2 License to Use the Service

Subject to your compliance with these Terms, NanoSlides grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or commercial purposes as permitted by these Terms and any applicable plan or subscription.

NanoSlides reserves all rights not expressly granted under these Terms. You are responsible for all activities that occur under your account and must keep your login credentials confidential. You must not allow any other person to use your account or access the Service using your username, password or other security credentials.

2.3 Acceptable Use Policy

Your use of the Service, including all User Content and Designs, must comply with NanoSlides's Acceptable Use Policy, as updated from time to time. You may not use the Service for any unlawful or harmful purposes.

2.4 Anti-Discrimination

NanoSlides does not support, and will not tolerate, use of the Service to discriminate against, harass, or harm others, especially on the basis of race, religion, gender, sexual orientation, age, disability, ancestry or nationality. You must not use the Service to incite, promote or support hatred, violence, or discrimination.

2.5 Restrictions on Use

You agree that you will not, and will not permit any third party to:

1. Rent, lease, sell, sublicense, distribute, or otherwise make the Service or Licensed Content available to any third party except as expressly permitted in these Terms;
2. Copy, modify, decompile, reverse engineer, attempt to derive the source code of, or create derivative works based on the Service or any part thereof;
3. Access the Service for the purpose of performance benchmarking or competitive analysis;
4. Use the Service to build or market a competing product or service;
5. Use the Service to store, transmit, or distribute viruses, malware, or any other malicious code;
6. Use a virtual private network (VPN) or other means to circumvent geographic pricing, content access restrictions, or other technical measures imposed by NanoSlides;
7. Use the Service to send unsolicited messages or spam;
8. Use any robot, scraper, or other automated means to access the Service or to extract data, including for machine learning model training, without NanoSlides's express written consent;
9. Circumvent, disable, or otherwise interfere with security-related features or any measures that enforce limitations on the use of the Service or Licensed Content.

3. Security and Data Privacy

3.1 Information Security

NanoSlides implements and maintains reasonable physical, technical, and organizational safeguards designed to protect your information from unauthorized access, destruction, use, modification, or disclosure.

3.2 Data Privacy

NanoSlides's Privacy Policy describes how we collect, use, transfer, disclose, and store your personal data. By creating a NanoSlides account or using the Service, you acknowledge that you have read and understood the Privacy Policy.

Where applicable data protection laws (such as the GDPR) apply, NanoSlides will act as a "data processor" with respect to personal data you control in your account, and you will be the "data controller". Our data processing agreement ("DPA"), where applicable, governs our processing of such personal data on your behalf. In case of conflict between these Terms and the DPA, the DPA will prevail with respect to personal data processing.

4. Content and Designs

4.1 User Content

When you upload or create User Content in NanoSlides, you represent and warrant that you own the rights to such content or that you have obtained all necessary rights, permissions and licenses to use it with the Service and to grant the rights specified in these Terms.

NanoSlides does not claim ownership of your User Content. However, in order to operate the Service, you grant NanoSlides a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to host, store, process, display, and otherwise use your User Content as reasonably necessary to:

• Provide, maintain and improve the Service;
• Enable features you choose to use (such as collaboration, sharing or exporting); and
• Comply with legal obligations and enforce these Terms.

This license is limited to the purposes above and continues only for as long as your User Content is stored in or otherwise used through the Service, except where we are required by law to retain it for a longer period.

4.2 Licensed Content

The Service may provide access to fonts, icons, images, videos, illustrations, templates and other Licensed Content. Your use of Licensed Content is subject to the specific license terms applicable to that content (the "Content License"). Different Licensed Content may be governed by different license terms.

You may not:

• Use Licensed Content in any way that violates the Content License;
• Extract Licensed Content for standalone use outside of Designs where not permitted; or
• Claim ownership of Licensed Content or register it as your intellectual property.

4.3 Designs

Your Designs may include both User Content and Licensed Content. You retain ownership of your User Content included in the Design, but any use of the Design that incorporates Licensed Content must comply with the applicable Content License.

NanoSlides does not own your Designs, but certain Licensed Content inside them may be subject to usage restrictions, including limits on commercial use, redistribution, and trademark usage.

4.4 Sharing and Publishing Designs

You may choose to share or publish your Designs (for example, by link, export, social media, or third-party integrations). You are solely responsible for how and with whom you share your Designs.

NanoSlides is not responsible for any third-party use of Designs that you have shared or made publicly accessible. Using the Service to share Designs at your instruction will not be considered a breach of our obligations under these Terms.

4.5 Public Showcasing of Your PPT Templates (With Your Permission)

NanoSlides may offer features allowing you to:

• Mark certain Designs or templates as public;
• Submit your PPT templates to community galleries, showcases, or template marketplaces; or
• Allow NanoSlides to display your templates as examples or case studies in our marketing, documentation, or product interfaces.

We will only publicly showcase your PPT templates with your explicit permission. By choosing to mark a template or Design as public, or by explicitly granting us permission through the Service or in writing, you grant NanoSlides a worldwide, non-exclusive, royalty-free license to:

• Display, reproduce and distribute your approved templates and Designs in our public template libraries and galleries;
• Use screenshots, exports or previews of such templates for marketing, product demonstration, case studies, or educational materials; and
• Translate, resize, or format such templates as reasonably necessary for display across different devices, languages and channels.

You may revoke this permission at any time for future use by changing your template settings or contacting us. Revoking permission will not affect:

1. Any use that has already occurred (for example, marketing materials already published); or
2. Uses required to comply with legal obligations.

You are responsible for ensuring that any User Content within publicly shared templates does not infringe third-party rights and does not contain confidential or sensitive information that you do not wish to disclose.

4.6 Personal Data Processed via Your NanoSlides Site or Forms

If you use NanoSlides to create websites, forms, or other experiences that collect personal data from others, you are solely responsible for:

• Providing appropriate notices and obtaining any required consents;
• Complying with applicable privacy and data protection laws; and
• Configuring the Service in a compliant manner.

Where required by law, the DPA between you and NanoSlides will govern our processing of personal data you collect via the Service.

5. Billing

NanoSlides may offer both free and paid plans. Details of available plans, features and pricing are provided within the Service or on our website and may vary by location.

5.1 Subscriptions and Renewal

You may subscribe to a monthly, annual, lifetime or other subscription (each a "Subscription"). Unless otherwise stated, Subscriptions automatically renew for the same term at the then-current price, unless you cancel before the end of the current billing period.

You may cancel your Subscription at any time via your account settings. Cancellation will stop future renewals but will not entitle you to a refund for fees already paid, except as expressly stated in our Refund Policy or required by law.

5.2 Taxes

Unless explicitly stated otherwise, Subscription fees are inclusive or exclusive of applicable taxes as specified at checkout. Tax rates are calculated based on the billing information you provide and applicable law.

5.3 Termination for Non-Payment

If you fail to pay any fees when due, NanoSlides may suspend or terminate your access to the Service or downgrade your account to a free plan. You remain responsible for all unpaid fees.

5.4 Free Trials and Beta Programs

NanoSlides may offer free trials, promotional access or beta programs. We reserve the right to define eligibility criteria and trial durations. When a free trial ends, your Subscription may automatically convert to a paid plan unless you cancel before the end of the trial period. If you do not subscribe after a trial, your access to certain features may be limited or terminated.

5.5 Pricing Changes

NanoSlides may change its pricing from time to time. For existing Subscriptions, new pricing will apply from the next renewal date after we provide you with reasonable prior notice, or as required by applicable law.

6. Refund Policy

We strive to deliver an exceptional AI-powered presentation creation experience through NanoSlides. To maintain transparency and fairness, our refund policy is as follows:

1. General Rule. Subscription fees are generally non-refundable after you have used the Service for more than seven (7) days from the activation of your paid plan.
2. Seven-Day Evaluation Window. If you experience issues or are dissatisfied, you may submit a refund request within the first seven (7) days from activation. If you provide a reasonable and documented explanation and we approve your request, you may be eligible for a partial or full refund at NanoSlides's reasonable discretion and as permitted by law.
3. After Seven Days. After the initial seven-day period, all fees are non-refundable, regardless of actual usage, upgrade/downgrade, or satisfaction, except where otherwise required by applicable law.
4. How to Request a Refund. To request a refund, contact us at [email protected] (or any other support contact we specify) with your account details, plan type, activation date, and reasons for your request. Our support team will review your request and determine whether it meets our refund criteria. If approved, refunds will be processed within a reasonable time to your original payment method.
5. Coverage. This refund policy applies to all Subscription types (monthly, annual, lifetime or other plans), unless otherwise stated in a separate written agreement or required by law.

By purchasing any NanoSlides plan, you acknowledge and agree to this Refund Policy.

7. NanoSlides Intellectual Property

Except for User Content and third-party Licensed Content, all rights, title and interest in and to the Service, including but not limited to software, underlying technology, features, user interface, trademarks, logos, and all related intellectual property rights, are and will remain the exclusive property of NanoSlides and its licensors.

You may provide suggestions, feedback or ideas to NanoSlides about the Service ("Feedback"). You hereby assign to NanoSlides all rights, title and interest in such Feedback, and acknowledge that NanoSlides is free to use such Feedback for any purpose without compensation or obligation to you.

8. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT (INCLUDING LICENSED CONTENT) ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NANOSLIDES AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, NanoSlides does not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free;
• Any data or content (including Designs) will be accurate, complete, or preserved without loss; or
• The Service will meet your requirements or expectations.

You understand and agree that use of the Service inherently involves transmission of data over networks not owned or controlled by NanoSlides, and that NanoSlides is not responsible for any loss, alteration, interception, or storage of data occurring outside our reasonable control.

9. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend and hold harmless NanoSlides, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) arising out of or related to:

1. Your breach of these Terms or any applicable laws;
2. Your User Content or Designs; or
3. Your use or misuse of the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE AGGREGATE LIABILITY OF EITHER PARTY ARISING OUT OF OR RELATED TO THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EXCEED THE GREATER OF:

1. ONE HUNDRED U.S. DOLLARS (US$100); OR
2. THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO NANOSLIDES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

The limitations above do not apply to your indemnification obligations or your breach of the "Restrictions on Use" section.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law (such as liability for gross negligence, fraud, or intentional misconduct).

11. Term and Termination

11.1 Term

These Terms become effective when you first access or use the Service and remain in effect until:

• Your paid Subscription expires or is terminated; or
• Your free account is deleted or terminated.

11.2 Violations

If NanoSlides determines, in its reasonable discretion, that:

• You have violated these Terms (including the Acceptable Use Policy, Anti-Discrimination provisions or Restrictions on Use); or
• Your User Content or Designs are unlawful, harmful, or otherwise inappropriate,

NanoSlides may, without notice and in addition to any other rights or remedies:

1. Remove or disable access to the offending User Content or Designs;
2. Suspend or limit your access to the Service;
3. Terminate your account and delete associated Designs and User Content;
4. Permanently ban you from the Service; and/or
5. Disclose relevant information or content to competent authorities where required by law.

11.3 Effect of Termination

Upon expiration or termination of your Subscription or account for any reason:

• Your right to use the Service immediately ceases;
• NanoSlides may (except where prohibited by law) delete your Designs, User Content, and account data after a reasonable period; and
• If termination results from NanoSlides's uncured material breach, we will refund any prepaid fees for the remaining portion of your Subscription term on a pro-rated basis. If termination results from your breach, no refund will be provided and any unpaid fees for the remaining Subscription term will become immediately due.

If your account is terminated for violation of these Terms, you may not create a new account without NanoSlides's prior written consent.

11.4 Survival

The following provisions will survive expiration or termination of these Terms: "Billing", "Refund Policy", "NanoSlides Intellectual Property", "Disclaimer of Warranties", "Indemnification", "Limitation of Liability", "Term and Termination", and "Other".

12. Other

12.1 Compliance with Laws

You agree to comply with all applicable local, national and international laws, regulations and treaties in connection with your use of the Service. NanoSlides likewise agrees to comply with all applicable laws relating to its provision of the Service.

12.2 Governing Law

These Terms are governed by and shall be construed in accordance with the laws of Hong Kong, without regard to its conflict of laws rules.

12.3 Export Controls and Sanctions

The Service may be subject to export control and sanctions laws and regulations. You agree to comply with all such laws and regulations and represent that you are not prohibited from using the Service under any applicable sanctions or embargoes.

12.4 Dispute Resolution

If you have any dispute with NanoSlides relating to these Terms or the Service, please contact us at [email protected] first. We will attempt in good faith to resolve the dispute informally.

If we cannot resolve the dispute, you and NanoSlides agree that any claim or dispute arising out of or relating to these Terms shall, to the extent permitted by law, be finally resolved by binding arbitration administered by a recognized arbitration institution, or by the courts of Hong Kong if arbitration is not applicable or enforceable. You and NanoSlides each waive the right to a jury trial and to participate in any class or representative action, to the maximum extent allowed by law.

12.5 Assignment

You may not assign or transfer these Terms or any of your rights or obligations hereunder without NanoSlides's prior written consent, except in connection with a merger, acquisition or transfer of all or substantially all of your assets. NanoSlides may freely assign or transfer these Terms in whole or in part without notice.

12.6 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.

12.7 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

12.8 Waiver

NanoSlides's failure to enforce any provision of these Terms shall not be deemed a waiver of such provision or of the right to enforce it later.

12.9 Notices

We may provide notices to you via email (to the address associated with your account) or through the Service. You are responsible for keeping your contact information up to date.

12.10 Changes to These Terms

We may modify these Terms (and any referenced policies) from time to time. When we do, we will post the updated Terms and, where required, provide reasonable advance notice (for example, by email or in-product notification). Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes.

12.11 Changes to the Service

NanoSlides may add, modify or remove features or functionality and may suspend or discontinue the Service (in whole or in part). If you have a paid Subscription and NanoSlides discontinues the Service during your Subscription term without providing a reasonably equivalent replacement, we will provide a pro-rated refund of any prepaid unused fees.

12.12 Entire Agreement

These Terms, together with all policies and agreements referenced herein (including the Privacy Policy, Acceptable Use Policy, Content Licenses and any applicable DPA), constitute the entire agreement between you and NanoSlides regarding the Service and supersede all prior or contemporaneous agreements, representations and understandings, whether written or oral, relating to the Service.
